1. Definitions
"Service" means the MarketLed platform at marketled.co.il. "User" means any person who registers an account or uses the Service. "Account" is your registered instance. "Subscription" is a paid plan, if any. "Tokens" are pre-purchased billing units consumed by AI operations. "Generated content" is output produced for you by the AI. "User content" is what you submit to the Service.
2. Eligibility
The Service is open to anyone aged 18 or over, legally capable of entering into a contract, and acting on behalf of a valid business. The Service is not available to persons or entities on relevant sanctions lists.
3. Account and security
You agree to provide accurate details, keep your login credentials confidential, use a single account only, and notify us immediately of any suspected unauthorized use.
4. Service description
The Service is a 9-stage AI-powered marketing pipeline: market research, positioning, copy, landing pages, lead magnets, SEO, video ads, and campaigns. Features evolve. Material removal of a feature will receive 30 days' advance notice.
5. Subscriptions, tokens, and billing
- Token-based pricing model: tokens are purchased upfront and consumed per operation.
- Pricing appears on the pricing page. Changes will be communicated 30 days in advance by email.
- Payments are in shekels. VAT is not added while the business is registered as עוסק פטור (status disclosed).
- Invoices will bear the legend "Excluding VAT, עוסק פטור", as required by law.
- Charging is upfront with automatic refund on failure (as implemented in the token ledger).
- A 14-day refund guarantee applies to the first token purchase per account. After that, token purchases are non-refundable, except where the law requires otherwise.
- There is no statutory cooling-off period for business users under Israeli law.
- Auto-renewal terms for subscriptions are reserved for a future version of this document.
6. Acceptable use
You may not:
- Generate or distribute content that is illegal, defamatory, incitement, or rights-infringing.
- Target audiences in violation of advertising law or the policies of the platforms you advertise on (Meta, Google, TikTok, etc.).
- Scrape, reverse engineer, resell API access, or use outputs to train competing services.
- Upload malware, attempt intrusion, or interfere with other users.
- Use the Service for mass political advertising without the disclosure required by Israel's Elections Law.
- Send promotional email or SMS to recipients who did not give explicit prior consent. You are responsible for complying with the Communications Law (section 30A). MarketLed does not send promotional messages on your behalf. If we add such a capability in the future, it will be governed by separate terms.
7. User content and license
- You retain ownership of your user content.
- You grant MarketLed a worldwide, non-exclusive, royalty-free license to store, process, transmit, and display the content solely to operate the Service.
- You represent that you have all the rights necessary in the content and that it does not infringe any third-party rights.
8. AI-generated content and responsibility
- Ownership of content generated for you is yours, subject to section 7.
- The content is generated by third-party models (Google Gemini, etc.). We do not warrant uniqueness or absence of overlap with output produced for other users.
- Content may include errors, inaccuracies, outdated information, or hallucinations. You are responsible for reviewing, fact-checking, and editing the content before publishing, running it as paid advertising, or relying on it commercially.
- We make no commitment regarding marketing performance, ROI, conversion rates, search rankings, or compliance with specific ad-network policies.
- The content is not legal, medical, financial, tax, or accounting advice and is not a substitute for professional advice.
9. Intellectual property
The MarketLed platform, code, prompts, design system, blog, brand, and documentation belong to MarketLed. You are granted no rights in them other than the limited license to use the Service under these terms.
10. Third-party services
The Service integrates with third-party services (Meta, Google, Vercel, Supabase, Stripe, etc.). Use of those services is subject to their own terms. We are not responsible for their availability, policy changes, or actions.
11. Termination
- You may close your account at any time, via the dashboard or by email.
- We may suspend or terminate an account for material breach, non-payment, fraud, or legal cause. We will give advance notice where possible.
- On termination: your access ends. Unused tokens expire 30 days after termination. Tokens from a first purchase made within 14 days are refundable. Other token balances are non-refundable.
- Provisions that by their nature should survive (intellectual property, liability, disclaimers, governing law, jurisdiction) survive termination.
12. Disclaimers
The Service is provided AS IS and AS AVAILABLE. We disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or specific results, to the maximum extent permitted by Israeli law.
13. Limitation of liability
- MarketLed's aggregate liability is limited to the amount paid to MarketLed in the 12 months preceding the claim, or NIS 1,000, whichever is greater.
- No liability for indirect, consequential, special, or punitive damages, lost profits, lost data, or lost business opportunity.
- Carve-outs: liabilities that cannot be limited under Israeli law (gross negligence, willful misconduct, bodily injury, fraud).
14. Indemnification
You will indemnify and defend MarketLed against claims arising from: (a) your user content, (b) your use of the Service in breach of these terms, (c) your breach of law, (d) your infringement of third-party rights.
15. Changes to terms
Material change: email and in-app notice 30 days in advance. Continued use after the effective date means consent. If the new terms are not acceptable to you, you may terminate the account.
16. Governing law and jurisdiction
Israeli law governs these terms. The competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute. Nothing in these terms derogates from rights granted to you under Israeli consumer law that cannot be contracted out of.
17. Miscellaneous
Entire agreement. Severability. No waiver. No assignment by the user (MarketLed may assign in the context of a merger or acquisition). Force majeure. Notices: by email to [email protected]. Language: the Hebrew version prevails in the event of any conflict with the English version.
